Draft – Subject to Legal and Compliance Review
This document is a working draft prepared for KingXchange and THEKINGDELLY LTD. It has not been legally reviewed or approved, must not be relied upon, and requires confirmation across Nigerian, United Kingdom and European Union requirements before publication as final terms.
About these terms
These draft terms are intended to govern your use of the KingXchange website and platform. KingXchange is a digital asset platform developed and operated by THEKINGDELLY LTD, a company incorporated in Nigeria under registration number RC 7011769.
This document has not been reviewed or approved by legal counsel. It is published so that the intended position is visible and can be reviewed, and it must not be relied upon as final terms. Access to the platform is offered subject to these terms once they are finalised.
Who we are
Legal name: THEKINGDELLY LTD. Company registration number: RC 7011769. Country of incorporation: Nigeria. Customer-facing brand: KingXchange. Website: kingxchange.com.ng. Contact: thekingdellyltd@gmail.com.
THEKINGDELLY LTD does not claim to hold a financial services licence, authorisation or regulatory approval in Nigeria, the United Kingdom, the European Union or any other jurisdiction. Nothing on this website should be read as a statement of licensing status, and any regulatory position we later hold will be stated expressly once established.
Current service status
The platform is preparing its payment and exchange infrastructure. It does not currently hold customer funds, accept payments, execute digital asset conversions or operate customer balances.
The exchange calculator is provided in demonstration mode. It is intended to show how a conversion will be presented; it does not create an order, an obligation to convert, or any right to receive a digital asset.
Nothing on this website is an offer, solicitation or invitation to buy or sell any digital asset, currency or financial instrument.
Eligibility and your account
You must be at least 18 years old and legally capable of entering into a binding contract to open an account. Accounts are created with an email address and password, and that email address must be verified before the account can be used.
You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for activity carried out through your account. Tell us immediately if you believe your credentials have been compromised.
We may decline to open an account, or suspend or close an existing account, where we are required to do so by law, where verification cannot be completed, or where we reasonably suspect misuse of the platform.
Verification and anti-money laundering
Before any conversion, you will be asked to complete identity verification as an individual, or business verification for a company. This may include proof of identity, proof of address, beneficial ownership information, and evidence of the source of the funds involved.
We may request further information at any time, and we may suspend a transaction or an account while checks are completed. Verification requirements are set out in our AML and CTF Policy.
Quotes, rates and fees
Rates, fees and limits are configured by KingXchange and calculated on our servers. A rate is either published directly by an administrator or derived from a market rate with an administrator-defined margin; the rate source is displayed with the pair.
Where no rate has been published for a currency pair, no quote will be produced and the calculator will display that the rate is not published. We do not display estimated, indicative or invented figures in place of a published rate.
A quote carries a defined validity window. When it expires, the rate may have moved and the quote must be refreshed. A quote is a statement of computation, not a promise to exchange until a binding transaction is created and funded.
Payments and settlement
Payments and digital asset settlement will be handled by third-party infrastructure providers once integrated. Payment methods, cut-off times and processing times depend on your country and on the services available from the provider in that country.
Payment instructions will only be issued through the platform for a specific transaction. KingXchange will not ask you to send funds to account details communicated by email, chat or social media outside the platform.
Settlement of USDT depends on confirmation by the approved provider and on the blockchain network used. We do not control blockchain confirmation times.
Currencies and corridors
GBP, EUR and NGN are the three core currencies of KingXchange and are treated with equal priority. Each is paired with USDT.
A currency pair becomes available only when a rate, a fee structure and a payment route are configured for it and the applicable approvals are in place. Availability may differ between pairs and may change.
Acceptable use
You must not use the platform to breach any applicable law, to evade sanctions, to commit fraud, to conceal the origin of criminal property, or to transact on behalf of a person who has not completed verification.
You must not attempt to interfere with the platform's security, access another customer's records, or use automated means to extract data from the site.
Digital asset risk
Digital assets are volatile and are not covered by deposit protection schemes. Converting currency into USDT may result in a loss of value. Our Risk Disclosure sets out the principal risks and forms part of these terms.
Liability
To the extent permitted by applicable law, we are not liable for indirect or consequential loss arising from your use of the website, from an interruption in availability, or from the acts of a third-party provider.
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, or for death or personal injury caused by negligence.
If you are a consumer, you keep the benefit of mandatory consumer protections in your country of residence. In Nigeria this includes protections under the Federal Competition and Consumer Protection Act 2018; in the United Kingdom and the European Union, mandatory consumer rights are unaffected.
Complaints and disputes
If you are unhappy with the service, please follow our Complaints Procedure. We will try to resolve the matter directly first.
These terms are intended to be governed by the laws of the Federal Republic of Nigeria, with the courts of Nigeria having jurisdiction, subject to any mandatory rights you have as a consumer in the United Kingdom or the European Union. This governing-law position requires confirmation by counsel.
Changes and contact
We may update these terms as the service develops. The current version will always be published on this page, marked as a draft until it has been legally reviewed.
